SCRUBgpt – Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you (“User,” “you”) and The CoBuilders LLC, doing business as SCRUBgpt (“SCRUBgpt,” “we,” “us,” or “our”). By accessing or using the SCRUBgpt platform, website, mobile application, API integrations, or any related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Services.

1. ABOUT SCRUBgpt

SCRUBgpt is an AI-powered platform designed to support cleaners, contractors, blue-collar professionals, consumers, and business users with operational tasks including but not limited to:

• Content generation
• Pricing assistance
• Messaging and communications
• Scheduling and reminders
• Lead generation
• Proposal creation
• Supply ordering
• Business insights
• Multimedia processing (image/audio/video)
• Task automation via MCP or API integrations

SCRUBgpt may use third-party AI models and infrastructure (e.g., OpenAI, AWS Bedrock, Google Cloud) to deliver these capabilities.

2. ELIGIBILITY

You may use SCRUBgpt only if you:

• Are at least 18 years old;
• Are legally able to enter into contracts;
• Are acting for yourself or on behalf of a legitimate business;
• Provide accurate registration information; and
• Comply with all applicable laws and regulations.

Commercial use is permitted.

3. ACCOUNT REGISTRATION

You must create an account to access certain features. You agree to:

• Provide accurate and complete information;
• Keep your login credentials confidential; and
• Notify us immediately of any unauthorized use of your account.

You are responsible for all activities that occur under your account.

4. LICENSE TO USE THE SERVICES

SCRUBgpt grants you a limited, revocable, non-transferable, non-exclusive license to use the Services for business, personal, or informational purposes in accordance with these Terms. We reserve all rights not expressly granted.

5. AI-GENERATED CONTENT & AUTOMATIONS

SCRUBgpt may generate, among other things:

• Messages, emails, proposals, estimates;
• Social media content;
• Pricing suggestions;
• Business recommendations;
• Analyses of user uploads;
• Supplier suggestions;
• Automated reminders or scheduled actions; and
• Insights derived from audio, video, or image content.

5.1 No Professional Advice

SCRUBgpt does not provide:

• Legal advice;
• Financial advice;
• Tax advice;
• Compliance advice; or
• Guaranteed pricing or service outcomes.

You are solely responsible for reviewing, verifying, and approving any AI-generated content before using it.

5.2 Platform is Not a Substitute for Human Review

By using the Services, you acknowledge that:

• AI-generated content may contain errors;
• AI output may not be accurate, complete, or appropriate; and
• You bear full responsibility for actions taken based on outputs.

6. USER CONTENT & RIGHTS

6.1 User Content

“User Content” includes any data, media, messages, files, images, videos, audio recordings, or other materials you provide. You retain ownership of your content.

6.2 License to SCRUBgpt

By submitting User Content, you grant SCRUBgpt a worldwide, non-exclusive, royalty-free license to:

• Process your data;
• Provide, improve, and secure the Services;
• Enable integrations; and
• Train your personal AI workspace (if applicable and with your consent).

We do not sell User Content.

6.3 Prohibited Content

You may not upload content that:

• Is illegal, fraudulent, or deceptive;
• Harasses, abuses, or threatens others;
• Violates intellectual property rights;
• Contains malware; or
• Violates privacy laws.

7. ACCEPTABLE USE POLICY

You may not:

• Attempt to reverse engineer or extract models used by the Services;
• Scrape or mine data without permission;
• Interfere with the platform’s security;
• Use SCRUBgpt to generate harmful, violent, or illegal content;
• Use the Services for competitive product development; or
• Circumvent usage limits or subscription policies.

Violation may result in account termination.

8. THIRD-PARTY INTEGRATIONS

SCRUBgpt may connect to third-party APIs, MCP endpoints, suppliers, or software providers. These partners are governed by their own terms. SCRUBgpt is not responsible for partner performance, availability of partner systems, pricing or fulfillment by external suppliers, or third-party data handling practices. You authorize SCRUBgpt to transmit data necessary for integration functionality.

9. SUBSCRIPTIONS, FEES & BILLING

Some Services require payment.

9.1 Auto-Renewal

Paid subscriptions may automatically renew unless canceled before the renewal date.

9.2 Refunds

All fees are nonrefundable unless required by law.

9.3 Taxes

Prices do not include applicable taxes, which may be added to your invoice.

10. PRIVACY & DATA SECURITY

Your use of the platform is governed by the SCRUBgpt Privacy Policy. SCRUBgpt uses industry-standard security, including encryption in transit and at rest, role-based access controls, and secure cloud storage. However, SCRUBgpt cannot guarantee complete immunity from cyber threats.

11. INTELLECTUAL PROPERTY

SCRUBgpt owns all rights to its software, databases, AI agents, designs, logos, documentation, and platform architecture. Users may not copy, resell, redistribute, or create derivative works without written permission.

12. TERMINATION

SCRUBgpt may suspend or terminate accounts for:

• Policy violations;
• Fraud;
• Nonpayment;
• Security concerns; or
• Harmful or abusive behavior.

You may terminate your account at any time. Upon termination, you must stop using the Services, and we may retain necessary data for legal compliance.

13. DISCLAIMERS

SCRUBgpt is provided “as is” and “as available” without warranties of any kind. We do not warrant that the Service will be error-free, that AI outputs will be accurate, that data will not be lost, that the system will operate continuously, or that business outcomes or revenue will be guaranteed. Your use of the Services is at your own risk.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, SCRUBgpt and its affiliates are not liable for loss of revenue, loss of business or opportunities, data loss, AI-generated errors, decisions made based on AI outputs, or any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid to SCRUBgpt in the past 12 months.

15. INDEMNIFICATION

You agree to indemnify and hold SCRUBgpt harmless from claims arising from your use of the Services, your User Content, your violation of these Terms, third-party rights violations, or misuse of AI-generated content.

16. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

16.1 Venue

All disputes shall be resolved in courts located in Fort Worth, Texas.

17. MODIFICATIONS TO TERMS

We may update these Terms at any time. Changes become effective upon posting. Continued use of the Services constitutes acceptance.
